By using our website, booking a Free Audit, or engaging Synero's services (collectively "Services"), you agree to these Terms & Conditions ("Terms").

1. Definitions

  • "Client" - the person or business who purchases or requests Services from Synero.
  • "Services" - any work provided by Synero including audits, website development, digital marketing, automation setup, retainers, SaaS products, consulting.
  • "Agreement" - these Terms plus any written proposal, statement of work (SoW), invoice, or contract between Synero and the Client.
  • "Deliverables" - the finished outputs Synero delivers (web pages, automation flows, reports, etc.).
  • "Free Audit" - a short, no-obligation 15-minute review of the Client's website/lead system that identifies 2-3 quick wins.

2. Scope of Services

Synero will deliver Services as described in the invoice, proposal, or SoW. The scope, milestones, and Deliverables are set in the applicable SoW.

  • Any services not listed in the SoW are outside scope and will require an approved change order and additional fees.

3. Free Audit Terms

The Free Audit is limited to one 15-minute session per business and includes a short review and up to 3 quick recommendations.

The Free Audit does not include a full strategy, installation work, or hands-on implementation unless separately agreed and paid for.

  • Synero may refuse repeat free audits at its discretion.

4. Booking, Acceptance & Onboarding

  • Clients must supply accurate contact information and required access (website, admin accounts) for onboarding.
  • Provision of Services begins after booking confirmation and (where applicable) receipt of any required deposit and the signed SoW.

5. Fees, Payment & Invoicing

  • Fees are set in the proposal/SoW/invoice.
  • For fixed-price projects: 50% deposit upfront, 50% on completion (adjustable per SoW).
  • Payment methods: bank transfer, card, or other methods agreed in writing.
  • Late payments will be charged interest.

6. Refunds & Cancellations

  • Free Audit: no charge and cancel any time.
  • For paid projects: cancellation before work starts - refund of paid amounts minus administrative fees (unless otherwise agreed).
  • After work has started, refunds are at Synero's discretion and may be pro-rated.

7. Client Responsibilities

  • Delays caused by the Client may extend timelines and incur additional fees.
  • Ensure any content provided to Synero (images, text, logos) is owned by the Client or appropriately licensed, and does not infringe third-party rights.

8. Change Requests & Scope Creep

Additional requests beyond the agreed SoW are Change Requests. Synero will provide a written estimate and timeline for acceptance before proceeding. Work started without written acceptance of the Change Request may incur charges.

9. Deliverables & Acceptance

  • Deliverables will be considered accepted if the Client does not provide written acceptance testing notes within 7 days of delivery (or other timeframe in SoW).
  • Minor revisions included in the price are specified in the SoW. Any additional revisions will be charged based on the scope and complexity of the project.

10. Intellectual Property & Licenses

  • Unless otherwise agreed, Synero retains ownership of pre-existing tools, code libraries, templates, and methodologies used in delivering Services.
  • On full payment, Synero grants the Client a non-exclusive license to use Deliverables for the Client's business.
  • If custom code or IP transfer is required, terms (including transfer fees) must be agreed in writing.

11. Confidentiality

  • Both parties agree to keep confidential any non-public information marked confidential or reasonably understood as confidential.
  • Confidentiality obligations survive termination for [3] years.

12. Data & Privacy

  • Synero will process Client personal data only to provide Services and in accordance with its Privacy Policy.
  • The Client is responsible for ensuring that any personal data provided to Synero was collected lawfully and that Client has valid consents if required.
  • For bookings and forms, Synero will log consent (timestamp and version of the Privacy Policy) in its CRM.

13. Third-Party Services & Integrations

Synero may use third-party services (hosting, APIs, payment processors, analytics). The Client agrees to any third-party terms required to enable those integrations.

  • Fees for third-party services are Client's responsibility unless otherwise specified.

14. Warranty & Disclaimer

  • Synero warrants that it will provide Services with reasonable care and skill.
  • Synero does not guarantee specific business outcomes (e.g., exact lead numbers, revenue increase). Any performance examples are illustrative.
  • Except as expressly stated, Services are provided "as-is" and Synero disclaims all other warranties to the maximum extent permitted by law.

15. Limitation of Liability

  • To the maximum extent permitted by law, Synero's total liability (for any claim) is limited to the total fees paid by Client to Synero under the relevant SoW in the preceding 12 months.
  • Synero is not liable for indirect, special, or consequential losses (including lost profits, business interruption).

16. Indemnity

The Client indemnifies Synero against any third-party claim arising from Client-provided content or Client's failure to comply with laws or terms of third-party services.

17. Termination & Suspension

  • Either party may terminate for material breach if the breach is not remedied within 14 days of written notice.
  • Synero may suspend Services for non-payment until the account is current.
  • On termination, outstanding fees and expenses become immediately due.

18. Force Majeure

  • Synero is not liable for failure or delay caused by events beyond reasonable control (strikes, natural disaster, internet outages). Timelines will be extended accordingly.

19. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Sri Lanka.
  • Parties will attempt to resolve disputes amicably. If unresolved within 30 days, disputes will be referred to binding arbitration or the courts of [jurisdiction], as agreed

20. Changes to Terms

Synero may update these Terms. Material changes will be published with an updated effective date. Continued use of Services after changes constitutes acceptance.

22. Miscellaneous

  • Assignment: The client may not transfer this agreement without prior written consent from Synero. Synero may assign or subcontract its obligations as needed.
  • Entire Agreement: These Terms and the Statement of Work (SoW) together constitute the complete agreement between the parties and replace any prior discussions or agreements.
  • Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
